UK’s FCA says crypto apps may need licenses when algorithms choose trade routes

Britain’s financial watchdog warned that crypto trading apps could need regulatory approval if their software decides customer transactions.

In draft guidance published Oct. 21, the Financial Conduct Authority (FCA) said applications that select trading venues or transaction routes based on assessments of price, liquidity, costs or execution speed may be arranging crypto deals, an activity requiring authorization under rules taking effect in October 2027.

The interpretation could bring decentralized finance (DeFi) aggregators and automated trading interfaces within the UK’s licensing regime, potentially forcing operators to obtain regulatory permission or change how their software handles customer trades.

The proposal forms part of the FCA’s efforts to define which crypto businesses qualify for exemptions from the new framework, scheduled to take effect on Oct. 25, 2027.

DeFi trading algorithms face licensing scrutiny

The FCA’s consultation focuses on a technical-services exemption intended to protect software providers whose applications simply connect customers to third-party trading platforms or decentralized protocols.

Under the proposed interpretation, an interface that transmits customer instructions without influencing their execution may qualify for the exemption.

However, applications that evaluate competing liquidity sources, recommend trading venues, or determine how transactions are executed could be performing activities that require regulatory authorization.

That distinction matters for DeFi aggregators, which often compare prices and liquidity across decentralized exchanges to identify execution routes for customers.

The regulator identified several indicators of discretionary involvement, including modifying transaction instructions, determining execution timing and selecting routes based on counterparty risk or expected trading outcomes.

Applications promising customers the best available execution may also face greater scrutiny because such commitments can indicate that their operators are making judgments about competing trading options.

The FCA further warned that automating these decisions does not necessarily shield developers or operators from regulation. Algorithms can execute choices established by their providers, including criteria that determine which exchanges or liquidity sources receive customer orders.

The assessment would therefore extend to how trading software is designed and operated, even when individual transactions are completed without direct human intervention.

Still, the regulator’s interpretation leaves room for applications using predetermined, objective routing rules. Whether a provider exercises discretion is one consideration alongside its broader involvement in facilitating transactions.

The exemption also carries separate eligibility requirements, including restrictions on authorized firms and payment service providers. It applies to qualifying technical access arrangements rather than every software service connected to decentralized finance.

The proposals extend beyond trading interfaces to the operators of decentralized platforms.

The FCA said distributed governance, smart contracts and automated systems do not automatically eliminate regulatory obligations where identifiable individuals or businesses exercise control over services.

Its assessment will consider operational responsibilities, decision-making authority and economic interests when determining whether an entity carries out regulated activities.

Those provisions could complicate compliance arrangements for DeFi businesses whose developers, governance participants and commercial operators share responsibility for maintaining trading infrastructure.

The uncertainty comes as the FCA’s authorization window is already open. Existing UK crypto businesses seeking transitional protections must submit applications between Sept. 30, 2026, and Feb. 28, 2027.

The regulator has requested feedback on its proposals by Nov. 18. Its website targets January 2027 for final guidance, although the consultation paper identifies spring 2027, potentially leaving affected businesses with limited time to determine their licensing requirements.

Acknowledging the uncertainty, the FCA said it may grant additional time to complete arranging-permission details where the proposed technical-services exemption materially affects an application. Businesses must still submit otherwise complete applications within the prescribed window.

Affected operators can also seek pre-application support from the regulator, which can help them assess their transaction-routing systems and determine whether they need to change their operating models or authorization applications before the February deadline.
