Binance updates Anthropic mark per second to stop liquidation

Shunyet Jan, Binance’s Head of Exchange and Trading, explained how Binance prices Anthropic-linked perpetual futures in an Oct. 13 article published by 21Shares.

He describes a mark updated each second from executed trades, with limits on each second’s movement and fallbacks when trading slows.

That explanation accompanies the Oct. 13 contractual issue date of the 21Shares Anthropic Synthetic ETP, an exchange-traded certificate giving synthetic exposure to the private company.

Buyers become unsecured creditors of a Cayman issuer, whose FalconX note counterparty manages the underlying exposure. Their returns depend on that chain’s ability to pay, as well as the direction of Anthropic-linked prices.

The issuer’s legal summary discloses that affiliated contract terms are negotiated within the same corporate group, without an independent director empowered to approve their fairness or an external check that they match an arm’s-length deal. Its advertised 1% annual product fee also sits alongside financing, trading and perpetual-funding costs.

A public listing would force crypto’s synthetic Anthropic valuation to converge with a real stock-market price, testing whether pre-IPO liquidity survives repricing or unwinds once Wall Street sets the benchmark.

This certificate adds a counterparty-failure dependency that can damage returns even if the reference price performs well.

An unsecured claim and affiliated contract terms

The final terms identify the certificate issuer as 21shares x FalconX Limited, incorporated in the Cayman Islands. They specify one-time long synthetic exposure through an unlisted structured note, with FalconX Sandpiper SPC as the relevant contract counterparty.

The investor holds issuer debt, while the issuer relies on the note counterparty to meet its contractual obligations. According to 21Shares’ explanation, the counterparty manages the economic exposure through perpetual futures traded on Binance and Hyperliquid.

The issue-specific summary classifies the certificates as unsecured and unsubordinated issuer debt, with no guarantee from another entity. Unsubordinated means the obligation is not designated as junior debt.

Investors’ recourse is to the issuer alone. If the counterparty defaults or becomes insolvent, the summary warns that the issuer could recover substantially less than the calculated note value, or nothing.

That loss can reach certificate holders regardless of how Anthropic-linked prices have moved.

Contract map for Anthropic synthetic exposure: the certificate holder has an unsecured claim solely on the Cayman issuer, which holds a FalconX Sandpiper SPC note; the issuer describes futures exposure on Binance and Hyperliquid. The holder has no direct note-counterparty claim, and the summary discloses credit risk and limits on independent review of affiliated terms.
Anthropic-linked certificates give holders a claim against 21shares’ FalconX issuer, not direct ownership of the underlying exposure.

The certificate-and-note structure assigns derivatives management to the counterparty and the payment obligation to the issuer. It gives the buyer a defined debt claim, but repayment still depends on the issuer’s ability to meet its obligations and on the credit risks embedded in the note.

The legal summary says Jura Pentium Limited owns the issuer within the FalconX Holdings group. The group relationship summary identifies a risk that the issuer and contract counterparty are affiliates under common ownership.

For those contracts, it says entities within the same group agree on fixed prices, slippage, financing costs, and tracking tolerances. These parameters help determine how market exposure translates into economic value for investors.

The document states that no independent director on the issuer’s board has authority to review and approve the fairness of those terms. It also says no external party verifies that they match the terms an unaffiliated counterparty would offer.

The governance limitation does not establish that a particular term is unfair, that prices have been manipulated or that anyone has acted improperly. The issuer says it maintains arrangements to manage potential conflicts, while warning that their effectiveness cannot be assured.

The final terms name NAV Consulting Inc. as calculation agent and administrator. Calculating the certificate’s net asset value is a different task from assessing whether an affiliated note’s negotiated financing or slippage provisions are fair.

A valuation process can operate under the agreed terms without supplying the independent fairness approval the summary says is absent.

The negotiated terms help determine how much of the market exposure’s performance becomes available to the holder.

Price inputs and costs shape the return

Jan’s explanation describes Binance’s Anthropic mark as updated each second from executed transactions over a rolling 10-to-100-second window. It says changes from one second to the next are capped at 1% in either direction, with a trailing 100-trade fallback during periods of lower activity.

Those are safeguards in the attributed mark-price method. A limit on each second’s price movement does not cap an investor’s overall loss or turn the trading quote into an independent appraisal of Anthropic.

The final terms name the Kaiko Anthropic USD Reference Rate and Binance’s ANTHROPICUSDT funding rate as inputs used to determine the contract’s value.

The certificate’s NAV then reflects the value of its underlying instrument and the investor fee. The note’s financing, trading, and funding economics can also affect that value. A broker’s execution price is another layer, determined by the price available when the investor trades.

Binance’s mark describes venue pricing, the named Kaiko rate and funding input determine contractual valuation, the note feeds NAV, and secondary-market execution determines sale proceeds.

The product FAQ says underlying financing, trading and perpetual-funding charges pass through to NAV. As a result, investors may see a gap between the reference price’s performance and the certificate’s return.

The final terms disclose charges on different bases:

Cost Disclosed basis What the figure establishes
Investor fee 1% annually The ongoing product charge.
Note financing Up to 3% annually A maximum financing charge, not a confirmed realized rate.
Trading costs Indicatively 50 basis points An indicative trading cost, not a fixed annual levy.
Perpetual funding 0.005% per funding period at inception An inception quote; ongoing funding is variable.
Redemption 2%, with possible additional charges A settlement deduction, separate from a broker’s secondary-market execution price.

These figures cannot be added into a fixed annual all-in fee. Financing is quoted as a ceiling, trading costs are indicative, and funding depends on the derivative’s terms and market conditions. The inception funding figure does not establish the current rate or a constant future expense.

The certificate lets the investor delegate management of the futures exposure, but the underlying economic costs still reach the investment. Variable funding costs can reduce returns even when the price view remains unchanged.

The final terms calculate the settlement amount from NAV after a 2% redemption fee and allow additional slippage, fiat-transfer, and other charges.

The summary separately describes subscription and redemption fees to authorized participants, while warning that investors may pay brokerage fees, commissions and spreads. Primary subscriptions are available only to authorized participants under the final terms.

A retail holder selling through a broker receives the available secondary-market price, subject to that transaction’s charges. The primary-redemption provisions are insufficient grounds to assume that every such sale also incurs a separate 2% levy.

Brokerage access and the conditional IPO transition

21Shares’ product FAQ says CLAU is listed on Vienna MTF in EUR and accessible through platforms and brokers that support that venue. The final terms name Virtu Financial Ireland Limited as authorized participant and market maker, with a minimum trading lot of one certificate.

The final terms require distributors to make their own target-market assessment and apply suitability or appropriateness obligations under MiFID II, as applicable. The legal summary also says Swedish approval of the prospectus is not an endorsement of the securities.

On Oct. 13, the product page displayed $49,397.23 in assets, 5,000 securities outstanding and $9.88 NAV per unit, alongside a performance panel dated Oct. 12.

An eventual IPO would supply another price reference. The FAQ says the perpetual reference would take Anthropic’s official exchange quote into account, with no automatic delivery of shares or forced settlement.

The product would continue providing synthetic exposure, with the fee and funding economics remaining relevant.

The legal summary warns that a public listing may never happen and that disrupted pricing or an underlying instrument’s termination can lead to alternative valuation, replacement exposure or early redemption with losses.

A public listing would change the pricing reference under the described design. The holder would still depend on the issuer’s payment obligation, the note counterparty’s performance, and the costs of maintaining synthetic exposure.
