Strategy sold $100M to defend STRC’s $100 stock price as DeFi packages the risk into a 7% ‘safer’ trade

Solstice announced a tranched product built on Strategy’s Bitcoin-related STRC preferred stock, and said its senior tranche would not begin absorbing losses until STRC trades below $47.66.

STRC currently trades near $95.315, putting that threshold roughly half of today’s market price and about 52% below the security’s $100 par value.

Solstice COO David Plisek described the $47.66 level as a modeled senior-impairment threshold under the protocol’s current coverage structure and assumptions, both of which the team can revise.

How Bitcoin holds the line

Strategy has spent the past six weeks actively managing STRC’s price. The company announced a Digital Credit Capital Framework on June 29, combining a dollar reserve policy, a revised dividend structure, and repurchase authorizations, with an explicit goal of keeping STRC trading between $99 and $100.

Between July 20 and July 26, Strategy repurchased 288,930 STRC shares for about $25 million at an average price near $86.52.

In early August, the company sold $108.6 million worth of Bitcoin and used the proceeds to repurchase 1,152,020 STRC shares, on top of a $4.65 billion dollar-denominated reserve reported as of Aug. 9.

Solstice built its risk model on that policy, and its documentation lists any move away from it among the named risks.

How the tranche works

Plisek said the exposure splits into two separate tokens, SR-strcUSX and JR-strcUSX, with $100 of combined exposure meaning $50 in each. That 50/50 split produces the 200% senior coverage ratio.

Junior absorbs realized losses first, in exchange for a yield target well above the senior side’s roughly 7% APY. STRC’s stated 12% annual dividend implies close to a 12.59% Bitcoin-fueled yield on its current price before Solstice’s tranching and fees split that spread between the two sides.

Plisek framed the tranching as a way to give investors a NAV-based return on STRC, separate from exposure to the security’s price swings. The product provides structured exposure to STRC’s economics, a claim on the security’s performance that stops short of share ownership.

Solstice modeled what its structure would have produced during STRC’s previous drop into the mid-$70s, before the product existed. STRC bottomed near $73.62 during that stretch, still about 35% above the current $47.66 threshold.

In that retrospective model, senior stayed unimpaired regardless of what junior holders did. Junior’s outcome depended entirely on senior behavior. Plisek said junior would have remained unimpaired as well if senior holders had stayed invested through the drawdown.

If every senior holder had redeemed during that window, junior would have taken a roughly 50% drawdown.

A price drawdown becomes a realized loss only when redemptions force the structure to sell the underlying position. Senior holders heading for the exit at the same time as a decline trigger junior losses.

What happens if selling Bitcoin is not enough and STRC keeps falling

Solstice has built-in stages before a senior ever takes a loss. Once STRC trades below a specified threshold, the protocol enters a restricted mode that halts junior redemptions and new senior minting simultaneously.

The aim is to stop the coverage ratio from deteriorating further while the restricted mode is in place.

A deeper decline triggers a liquidation phase, during which Solstice works to sell STRC collateral before the senior tranche incurs any loss.

Plisek said market makers have agreed to buy STRC outside normal Nasdaq trading hours, narrowing the gap between a DeFi product that trades continuously and an underlying security that does not trade continuously.

Plisek also said the protocol’s products operate independently of one another. STRC entering liquidation would not affect Solstice’s other products, USX or eUSX, since each runs its own separate risk controls.

The tranche structure reorders who absorbs STRC’s risk, leaving the underlying risk itself fully intact.

Strategy has said that STRC dividends require board approval each period and that its preferred securities carry no collateral claim on its Bitcoin holdings, only a preferred claim on whatever assets remain.

How the next STRC move plays out

The bull case has STRC closing the gap back toward its $99 to $100 target as Strategy’s repurchases and reserve continue working.

Junior’s mark-to-market risk shrinks as the discount narrows, and senior starts looking closer to a bond than a leveraged bet. Solstice’s structure ends up delivering what Plisek described: a NAV-based return that trades STRC’s volatility for something calmer.

The bear case has STRC sliding back toward the mid-$70s, as the market grows skeptical that a Bitcoin treasury company can sustain preferred-stock defense funding indefinitely. Senior stays modeled unimpaired under Solstice’s framework either way.

Junior’s outcome comes down to whether holders stay put or run for the exits at the same time—the redemption pattern Solstice’s retrospective model flagged as the real swing factor.

Solstice built a system that decides who loses first when STRC falls. The $47.66 line only holds if the mechanics between here and there—the tranching, restrictions, and liquidation process—all work as modeled under real market stress.
