Top 10 Criticisms Against the CLARITY Act as Opposition Intensifies

As the U.S. Senate advances the Digital Asset Market CLARITY Act, the legislation is facing mounting criticism from ethics watchdogs, former regulators, banking analysts, and consumer advocates. Critics argue the bill contains regulatory loopholes, weak conflict of interest safeguards, and inadequate investor protections despite.

Top 10 Criticisms of the CLARITY Act

1. Weak Conflict of Interest Safeguards

Democracy Defenders Action and Transparency International U.S. criticize the CLARITY Act for protecting existing crypto holdings, allowing family loopholes, lacking divestment rules, limiting disclosures, and providing weak enforcement.

2. Stablecoin yield loopholes

Analyst Kian Sarreshteh warns the CLARITY Act could leave a stablecoin yield loophole through loyalty programs, enabling exchanges to offer returns on idle stablecoins and potentially diverting deposits from community banks and credit unions.

3. CFTC Oversight Raises Capacity Concerns

Critics argue the CLARITY Act could place oversight of the $2.2T digital asset market under the CFTC, an agency they say has fewer resources than the SEC. Former SEC official John Reed Stark has warned that limited staffing and enforcement capacity could challenge supervision, citing the CFTC’s 556 employees compared with the SEC’s roughly 4,200.

4. Deferred and Incomplete Investor Protections

Core safeguards rely on future CFTC rulemaking, which may be a long process due to industry influence and litigation. Meanwhile, markets operate without adequate or any protections, turning promised oversight into an IOU.

5. Disclosure and Issuer Accountability Concerns

There are no traditional issuers, audited financials or management accountability for most tokens. The Act addresses this opacity by reducing, not increasing, the disclosure required, violating the “no story, no sale” rule of securities law.

6. Jurisdictional Chaos and Classification Wars

Critics warn the CLARITY Act’s new digital asset classifications could replace the Howey test with complex categories, creating regulatory disputes, agency conflicts, litigation risks, and enforcement delays instead of clear rules.

7. CLARITY Act Preempts State Blue Sky Laws

The CLARITY Act preempts certain state Blue Sky laws, reducing state regulators’ authority over digital assets. The move would bring more crypto oversight to federal agencies, and alter how states can investigate fraud, safeguard investors, and enforce securities regulations.

8. Regulatory Fragmentation

The CLARITY Act’s dual pathways under the SEC and CFTC could encourage issuers to design products for the lighter regulatory regime. Critics say this could mirror the regulatory shortcomings of the pre-2008 era, where major firms are given more liquidity and retail investors are exposed to weaker oversight.

9. DeFi Exemptions Create Regulatory Gaps

Provisions shielding certain decentralized finance activities from both agencies are criticized as opening pathways for sanctions evasion and illicit finance. Proposed task forces and committees are viewed as inadequate substitutes for direct rules.

10. Weak Trump Ethics and Industry Capture

The ethics ban on issuing assets ends in 2029, with enforcement limited to the Attorney General and a $500,000 maximum fine. Critics argue that President Trump’s family can still profit from crypto deals, while Trump’s crypto ventures have reportedly generated more than $1.4 billion, making the penalty insignificant.

What’s Next for the CLARITY Act?

The Senate faces a tight deadline as lawmakers must strengthen ethics rules, close the stablecoin yield loophole, and address oversight gaps before the August recess. Without major changes, pro crypto Democrats and key Republicans like Senator Tillis will block a floor vote over concerns about weak enforcement and market integrity.
